புத்தக மதிப்பு (Book Value) - ருபீடெஸ்க் கன்சல்டன்சி

ஒரு நிறுவனத்தின் புத்தக மதிப்பு (Book Value) என்பது அதன் உண்மையான சொத்து மதிப்பைக் குறிக்க பயன்படுத்தப்படுகிறது.ஒரு நிறுவனத்தின் மொத்த சொத்து மதிப்பிலிருந்து அந்த நிறுவனம் வாங்கிய கடன்களைக் கழித்துக் காணப்படும் மதிப்பே அந்த நிறுவனத்தின் உண்மையான மதிப்பாகும்

உதாரணமாக, ஒரு நிறுவனம் 80 லட்சம் மதிப்புள்ள சொத்துக்களையும், 60 லட்சத்துக்கு கடனும் வைத்திருந்தால் அந்த நிறுவனத்தின் புத்தக மதிப்பு 20 லட்சம்  (80 லட்சம் -- 60 லட்சம்) ஆகும். இதனாலேயே ஒரு நிறுவனம் கடனில் உள்ளதா அல்லது நல்ல நிலையில் உள்ளதா என்பதனை அறிவதற்கு தோரயமாக புத்தக மதிப்பை பயன்படுத்துகிறார்கள்.

நாம் புத்தக மதிப்பினை ஒரு நிறுவனத்தின் இருப்பு நிலைக்குறிப்பு (Balance Sheet) என்ற அறிக்கையினை  ஆராய்ந்து அறியலாம்.புத்தக மதிப்பினை வைத்து அதன் பங்கு விலை நல்ல மதிப்புடன் உள்ளதா? இல்லையா? என்றும் அறிய முடியும். எடுத்துக்காட்டாக ஒரு நிறுவனம் மொத்தம் 20,000  பங்குகளையும், புத்தக மதிப்பு 20,00,000 ஆகவும் கொண்டிருப்பதாக கொள்வோம். இப்போது ஒவ்வொரு பங்கிற்கும் உண்மையான மதிப்பு  என்ன என்பதை பின்வருமாறு கணக்கிடலாம்

Book Value per share = Book value / Total No. of outstanding shares.
ஒரு பங்கின் புத்தக மதிப்பு = புத்தக மதிப்பு / பங்குகள் எண்ணிக்கை
ஒரு பங்கின் புத்தக மதிப்பு = 20,00,000 / 20,000 = ரூ.100.

Book Value = Total Assets – (Intangible (Patents, Goodwill & etc.,) Assets + Liabilities)
Total No. of outstanding shares = Total No. of Equity Shares – Total No. of Preference shares

விதிமுறைகளை பின்பற்றாத நிறுவனங்களின் பங்குகள் (shares of non-compliant companies) டிரேட் பார் டிரேட் என்கிற முறையில் இஸட் (Z) குரூப்பில் வர்த்தகமாகும் என்று நண்பன் சொன்னான். இதை விளக்கிச் சொல்ல முடியுமா ?

 "‘Z’ தர நிறுவனங்கள்

பங்கு சந்தைகள் நிறுவனங்களின் நடைமுறைகளை கட்டுப்படுத்த பட்டியலிடு ஒப்பந்தத்தில் உள்ள பல்வேறு விதிகளை உபயோகப்படுத்துகிறது. ‘Z’ தர நிறுவனங்கள் என்பவை பங்கு சந்தையில் பட்டியலிடுவதற்கான நடைமுறைகளை பின்பற்றாமலோ அல்லது முதலீட்டளர்களின் புகார்களை நிவர்த்தி செய்யாமலோ இருக்கின்ற நிறுவனங்களை குறிக்கும்.

இவ்வகையான பங்குகள்  பெருமளவில் ஏற்ற இறக்கத்துடனும் சந்தேகத்திற்கிடமான முறையிலும் வர்த்தகமாகும். இவை டிரேட் பார் டிரேட் என்கிற முறையில் ‘Z’ குரூப்பில்மாற்றப்படும்.

‘Z’ வகை 1999 ஜூலையில் மும்பை பங்குச் மூலம் அறிமுகப்படுத்தப்பட்டது.
மும்பை  பங்குச்சந்தையின் பொதுக்குழு, 2002 ஜனவரியில் Z’ குரூப்பில் பங்குகள்  மாற்றப்படுவதற்கான வரைமுறைகளில் முக்கியமான திருத்தங்களை வெளிக்கொணர்ந்தது.

இந்த வழிகாட்டுதல்கள் ‘Z’ வகை பங்குகளாக மாற்றப்படுவதற்கான ஏழு அளவுருக்களை குறிப்பிடுகின்றன.  பங்குச்சந்தையானது விதிமுறைகளை பின்பற்றாத நிறுவனங்கள்  இந்த ஏழு அளவுருக்களில் ஏதாவது மூன்றை
பின்பற்றாமல் இருந்தாலே Z’ குரூப்பில் மாற்ற கருத்தில் கொள்ளும்.
அந்த ஏழு வரைமுறைகள் பின்வருமாறு:
1.  Book Closure மற்றும் Record Dates பற்றிய தேவையான அறிவிப்பு. (Listing Clause 15 & 16)
2.  ஆண்டறிக்கைக்கான வருடாந்திரம் சமர்ப்பிப்பு (Listing Clause 31(1)(a)).

3.     பங்கு வைத்திருக்கும் முறைக்கான காலாண்டு சமர்ப்பிப்பு (Listing Clause 35)

4.  வருடாந்திர பட்டியல் கட்டணம் செலுத்துதல் (Listing Clause 38).

5.     காலாண்டு அடிப்படையில் தணிக்கை செய்யப்பட்ட வெளியீடு / தணிக்கை செய்யப்படாத முடிவுகள் (Listing Clause 41)

6.  முதலீட்டளர்களின் புகார்களை நிவர்த்தி செய்தல், அதாவது பங்கு பரிமாற்றம் போன்றவை.(Listing Clause 3, 12, 21).

7.    பெருநிறுவனங்களுக்கான கட்டுப்பாடுகள் ஏதாவது இருந்தால் செயல்படுத்துதல் (Listing Clause 49)

கூடுதலாக, பங்குச்சந்தையானது தனது விருப்பப்படி, நிறுவனங்கள் அதன் நிகர மதிப்பு,, விற்பனை, சந்தை முதலீடு மற்றும் இலாபத்தின் அடிப்படையில் பலவீனமாக இருந்தால்  ‘Z’குரூப்பில் மாற்றலாம்.

மேலும் சி.டி.எஸ்.எல் (C.D.S.L) அல்லது  என்.எஸ்.டி.எல் (N.S.D.L)--ல் பங்குகளை டிமேட் (Demat) செய்வதற்கான ஏற்பாடுகளை செய்ய தவறிய நிறுவனங்களும் இதில் அடங்கும்.

எனினும், அந்த நிறுவனங்கள் டிமேட் (Demat) செய்வதற்கான ஏற்பாடுகளை திரும்ப சரியாக செய்தால் கம்ப்லயன்ஸ்குப் பிறகு மூன்று மாதங்களில் மறுபடியும் அதன் முன்னிருந்த குரூப்பில் மாற்றப்படும்.

பங்குச்சந்தையானது விதிமுறைகளை பின்பற்றாத நிறுவனங்கள் ‘Z’ குரூப் நிறுவனங்கள் மீது கடுமையான அபராத நடவடிக்கைகளும் மேற்கொள்ளலாம்.


இந்த வகை பங்குகள் பல்வேறு அடிப்படைகளில் ஒருவேளை அபாயகரமனதாகவும் இருக்கலாம்.
1. முதலாவதாக, பொதுமக்களிடையே இந்த நிறுவனங்களை பற்றிய போதுமான தகவல்கள் இல்லாமல் இருக்கும்பட்சத்தில் இவைகளை கண்காணிப்பது மிகவும் கடினம்.
2. இரண்டாவதாக, ஊடகங்களில் சேகரிக்கும் செய்திகள் குறைவாக இருப்பின் பொதுவான ஆய்வுகளில் இருந்து இவற்றைப் பற்றிய தகவல்கள் மறைக்கப் பட்டிருக்கும். இது இந்நிறுவனங்கள் பெரும் பாதிப்பை ஏற்படுத்த கூடிய இன்சைடர் டிரேடிங்கை (Insider Trading) செய்வதற்கான வாய்ப்பாக உருவாகிவிடும்.
3. மூன்றாவதாக இந்த நிறுவனங்கள் ஏற்கனவே முதலீட்டாளர் புகார்களை நிவர்த்தி செய்வதில் குறைவான மதிப்பெண்களை பெற்றுள்ளது.

இவ்வகையான பங்குகள்  டிரேட் பார் டிரேட் என்கிற முறையில் ‘Z’ குரூப்பில் வர்த்தகமாகும்
 டிரேட் பார் டிரேட் என்பது கட்டாய டெலிவரி முறையில் மட்டுமே  வர்த்தகமாகும். அதாவது டிரேட் பார் டிரேட் பங்குகளை தினசரி (Intraday) வர்த்தகம் செய்ய முடியாது.
